MISSION:
AlphaStruxure is seeking an experienced transactional attorney interested in contributing to an organization developing new and innovative infrastructure projects in North America and the EU.
Reporting to the Vice President, Legal of AlphaStruxure, the successful candidate will support the executive and development teams by drafting, reviewing, and negotiating a wide range of transactional documentation. Specific responsibilities include but may not be limited to:
  • Drafting, reviewing, and negotiating a wide range of contracts and transaction documents such as non-disclosure agreements, LOIs, purchase agreements, vendor and offtake contracts, tax equity documentation; supervising outside counsel as appropriate.
  • Ensuring a proper understanding of legal risks in transactions and providing advice on limiting risk.
  • Supporting deal teams in necessary investment due diligence activities.
  • Coordinating with both internal and external stakeholders to ensure an efficient investment development process.
  • Manage standard business agreements for routine transactions.
  • Assisting with the development of a documentation management system and assist in the implementation of process and procedures.
Qualifications:
  • JD or LLM degree from an accredited law school and admittance in good standing with at least one state bar.
  • 5+ years’ experience with energy project development and finance at a major law firm or in-house experience at a large corporation or energy focused company, including experience drafting and negotiating power purchase agreements, energy service agreements, equipment supply agreements, construction contracts, tax equity and financing documentation.
  • Strong drafting proficiency and ability to identify key issues in contracts, including those that relate to liability and risk allocation
  • Excellent written and oral communication skills.
  • Ability to manage multiple priorities, working under pressure to meet deadlines.
  • High degree of integrity and strong work ethic.
