Summary / Primary Role:
Provides paralegal support to the Chief Legal Officer and Associate General Counsel with regard to (i) all legal drafting, review, approval, execution, and ongoing maintenance of company agreements and other corporate documents, (ii) the drafting and review of corporate policies, (iii) the drafting, review, and maintenance of corporate forms and contract templates, (iv) the drafting and review of statements of work and services schedules, and (v) research and analysis of applicable industry laws and regulations and other corporate compliance matters.
Paralegal will assist with the implementation and administration of a contract database and provide support for the various stages of the contracting process (e.g., preparation, review, negotiation, execution) for all company contracts in support of the company’s business strategy and activities.
Paralegal will provide support with respect to all Law Department affairs, including corporate governance, contracts, employee matters, research, drafting, commercial matters, mergers and acquisitions, labor law and employment, licensing and regulatory compliance, litigation, real estate, taxes, and intellectual property.
This position is performed with considerable independence, applying independent judgment and proficient knowledge of legal terminology, documents, and procedures.
Principal Duties and Responsibilities:

- Prepare written materials, including templates, correspondence, e-mail, reports, contract tracking spreadsheets, and other documents
- Organize a high volume of documents including contract database input and maintenance
- Organize and maintain electronic files
- Coordinate with Law Department staff and other departments in support of business operations
- Draft and review correspondence, contracts, and other documents
- Partner with cross-functional teams (e.g., Finance, Human Resources, Tax, Marketing) to ensure efficient workflow and handling of requests
- Assist where needed with other Law Department matters
- Assist in the management of the contract negotiation process, including performing initial review of client comments to identify areas of concern and recommend solutions; obtain input from company management and subcontractors, prepare client response and coordinate/participate in negotiation calls and meetings
- Be the initial reviewer for 3rd party vendor agreements
- Support the company in all aspects of the contract life-cycle
- Participate in implementation of new technical solutions to better improve workflow and efficiency of the Law Department
- Interact with internal business partners and serve as a subject matter expert for contracts administration-related issues
- Communicate with internal business partners regarding the risks presented by contract terms and possible strategies to mitigate such risk
- Use initiative and discretion in accomplishing routine assignments with minimal supervision
- Research legal issues and engage in fact gathering and checking to provide support on all assigned legal matter.

- Team player; in-office position. Demonstrated ability to communicate effectively and provide legal analysis for executive management and business operations leaders
- 4-year bachelor’s degree in legal studies or post-graduate paralegal training
- Experience in the transportation and logistics industries preferred; but not required
- Excellent communication skills—verbal and written
- Minimum of 7 years of corporate paralegal contracting experience; two years public or private sector firm experience desired
- Experience using a CRM or related tool to manage contracts
- Thorough understanding of contract language and its impact to an organization
- Time management skills; ability to handle high volume requests
- Superior organizational skills to maintain order of files and prioritize work
- Ability to work well with all levels of management and staff, as well as outside clients and partners
- High level of proficiency in using office equipment and in Microsoft Windows and Microsoft Office products: Word, Excel, Outlook, and PowerPoint.
