AGREEMENT

1. Intent of Parties

(a) It is the intent of the parties that ___________________________, an Indiana state qualified Registered Nurse, will administer to employees of Agency the Home Health Aide Competency Evaluation as required by CFR 484.80(C)(1)(2)(3) (the "Evaluation") via direct observation and evaluation.

(b) The Parties recognize that their relationship will require Agency to share PHI regarding Agency patients with Evaluator. The Parties will enter into a business associate agreement, a form of which is attached hereto as Exhibit "A", to ensure compliance with the requirements of HIPAA.

2. Fees

(a) Agency shall pay Evaluator $25.00 for each applicant to whom Evaluator provides the Evaluation and a minimum of $50.00 per competency should less than two employees be present.

(b) These fees shall be owed by Agency and paid to Evaluator regardless of whether the individual passes the Evaluation.

(c) Evaluator will invoice Agency weekly or monthly for services rendered. The invoice will itemize each Evaluation performed including the name of the applicant and the date of the Evaluation performed. Agency shall remit payment within ten (10) days of receiving the invoice.

(d) Designation of Testing Materials

(a) Evaluator will utilize the Competency Testing materials that it requires to properly conduct the evaluations and may use the materials provided by Agency as needed. Provided, however, Evaluator will utilize the form(s) that Agency utilizes to document the results of such evaluation.
