This Director-level role will support the securitization business lines of Natixis CIB Americas, with primary focus on the ABS and CLO business lines and secondary focus on the CMBS business line. Responsibilities will include (i) coordinating with the front office and external counsel to appropriately review and document securitization transactions, (ii) developing and implementing effective procedures and standards and (iii) providing legal and regulatory advice as relevant.

He/she/they will be responsible for working with origination, underwriting, distribution, portfolio management, credit and agency teams on structuring, documentation, syndication and execution of ABS, CLO and CMBS transactions (as well as related warehousing) originated by the Natixis CIB Americas platform.

Coverage responsibilities will vary depending on the needs of the business and the specific expertise of the successful candidate and will include (i) ABS and related warehousing, with focus on esoteric assets and PACE (ii) middle market and BSL CLO, related warehousing, and trading desk support and, to a lesser extent, (iii) CMBS and CRE CLO transactions.

The salary range for this position will be between $250,000 - $290,000. Natixis is required by law to include a reasonable estimate of the compensation range for this role. Actual base salary will vary and will be based on several factors including, but not limited to, relevant experience, education, skills set, applicable licensure and certifications, and other business and organizational needs. Base salary is only one component of our total rewards package. Natixis also offers a generous benefits package, and you may be eligible for a discretionary incentive award depending on company and individual performance

This will include:

• Working with internal business partners and external counsel to execute documentation that protects the bank’s interests as initial purchaser, underwriter, or placement agent within the context of the bank’s distribution strategies
• Advising internal business partners in analyzing, negotiating, and resolving legal issues related to securitization transactions and regulatory items as well as other internal and global stakeholders
• Taking all necessary steps to ensure a proper understanding of legal risks incurred by the covered business lines and providing appropriate solutions in order to control and reduce legal risks
• Developing best practices and ensuring quality control for underwriting, origination, and syndication activities
• Coordinating across support functions including Compliance, Operations, Regulatory, Credit and Finance to promote transparency and consistency in approach
• Providing legal analysis on new products and activities, as necessary
• Instructing and managing external counsel and legal fees.

Profil et compétences requises

JD or LLM degree
5+ years of securities capital markets experience at a large financial institution and/or a leading law firm.
Deep understanding of ABS and CLO transactions (preferably arranger-side), with special focus on esoteric assets, PACE and middle market CLOs. Willingness to learn and assist with other capital markets (corporate) products (DCM, private placement, equities) and broker-dealer capital markets regulatory matters as needed.
The ability to convey thoughts clearly and succinctly and to communicate pertinent, complex information in a clear and organized manner.
Self-motivated with the ability to work independently while understanding when to involve other team members as needed and to work effectively in a team environment.
Qualified candidates must currently be admitted to the bar of the State of New York as an active member in good standing or registered (or qualified to register) as in-house counsel under the Rules of the Court of Appeals of the State of New York.
