Under supervision of Associate General Counsel draft, review, interpret, a variety of contracts and other documents with a focus on procurement and sales contracts. Master company’s standard form contracts as well as acceptable alternative language based on significant experience in negotiating contract provisions for the company. Review contractual provisions to analyze possible legal and business exposure and to ensure that the company's contract terms are being followed. Understand legal terminology, including, warranties, limitation of liability, indemnification, and force majeure. Understand the company’s insurance program to instruct insurance provisions negotiations. Facilitate contractual activities from inception to completion for both Regional and Strategic Accounts internal clients and assist in managing workflow for contracts in queue. Work with business contacts on compliance with company legal policies and procedures. Advise business contacts on commercial disputes and provide guidance on contract interpretation, breach of contract matters, and tortious interference issues. Participate in negotiations related to contractual terms and conditions. Assist in the review and development of Airgas contract templates.

Are you a MATCH?
MINIMUM EDUCATION: Bachelor’s degree in Legal Studies or related field.
MINIMUM EXPERIENCE: 18 months of relevant experience in contracts, administration/management (i.e., contract review, drafting, interpretation and negotiation) within a law firm or corporate legal department environment.
