Coyote is seeking a Contracts Attorney. The Attorney will be responsible for working with Coyote’s business units to review commercial agreements, including identifying and analyzing potential business risks and recommending risk mitigation strategies. The Attorney will lead contract negotiations, translating each party’s responsibilities into legally binding contractual language that complies with Coyote requirements and applicable laws. The Attorney will be a problem-solving business partner that takes a practical approach while minimizing liability claims.

While the primary job duties will involve contract drafting and negotiating, the Attorney may also manage, and provide advice on, various other legal and compliance matters, including employee issues, data privacy, insurance, litigation and cargo claims.

Daily Tasks & Responsibilities (include, but not limited to):

  • Review, negotiate, and revise transportation agreements including shipper/broker agreements, co-broker agreements, broker/carrier agreements and transportation management services agreement.
  • Review, negotiate and revise technology vendor agreements.
  • Draft and maintain template agreements as needed.
  • Deliver general legal counsel as required by the business on contracts, legal compliance and transportation law.
  • Manage certain litigation and employment matters.
  • Maintain regular communication and collaboration with the Carrier and Customer Sales Departments, the Carrier Compliance Department, Human Resources and the UPS Legal Department.
  • Stay abreast of legal, regulatory, and institutional requirements as applicable to Coyote.

Essential Skills, Characteristics, & Experience:

  • 6-12 years as a practicing lawyer
  • Legal experience in drafting, reviewing, revising and negotiating complex contracts
  • Transportation-related contract experience a plus, but not required
  • Member of state bar
  • Ability to work independently
  • Strong communication skills to work with staff and other professional

Work Environment & Physical Demands:

This position operates in a dynamic, fast-paced, professional office environment. This role routinely uses standard office equipment such as computers and phones. While performing the duties of this job, you will be regularly required to talk, read, hear, sit, and use your hands to type.
