SUMMARY OF DUTIES:

Amtrak seeks an attorney with experience in drafting, negotiating and reviewing a variety of financing documents, and providing advice on assorted agreements relating to banking, financial transactions and products, complex development financing such as public private partnerships, insurance and re-insurance associated with Amtrak’s liability as well as vendor arrangements, tax matters, and payment card matters, often with the coordination and assistance from outside counsel.


Job responsibilities include:

  • Provide advice and assistance with financings, such as government issued or guaranteed loans, revolving credit facilities, municipal bonds, term bank loans, secured and unsecured privately placed notes, capital market transactions, including initial transactions, refinancings, amendments, waiver requests, transfers of registration, repayments, and prepayments.
  • Advise and assist regarding swaps and other derivatives, banking agreements for services, and investment management agreements.
  • Work with Treasury to review materials requiring approval of Amtrak’s Board of Directors including preparation of resolutions for financial transactions, and changes to insurance programs, hedging policies and investment policies.
  • Oversee outside counsel responsible for timely amendments to UCC related to financings.
  • Work internally to lease pledged rolling stock, to structure new investments in joint ventures or subsidiaries, and to assist real estate attorneys in matters pertaining to Amtrak’s grant and financing agreements.
  • Provide advice and assist Amtrak Treasury regarding renewal of various insurance coverages. Provide advice regarding security and credit instruments including surety bonds and letters of credit.
  • Advise and assist with Amtrak’s construction insurance program including the company’s Owner Controlled Insurance Program.
  • Serve as counsel to Amtrak’s captive insurance subsidiaries.
  • Review audit engagement letters, management representation letters and annual financial statement footnotes, and prepare resolutions for engagement of financial auditors. Provide advice and support regarding agreements for the acceptance and processing of payment cards, digital wallets and gift cards.


The successful candidate must become fully knowledgeable about federal and state statutory and regulatory requirements applicable to Amtrak, Amtrak’s capabilities and constraints, and the requirements stemming from Amtrak’s grants. Familiarity with federal cost principles applicable to non-governmental entities as they relate to insurance and financings would be helpful.

Amtrak lawyers regularly work in more than one practice area and serve more than one client or set of clients, regardless of their primary focus and responsibility.


ESSENTIAL FUNCTIONS:

  • Provide legal advice and guidance to management and corporate personnel on matters involving legal issues.
  • Assist the Deputy General Counsel in the delivery of legal services.
  • Responsible for special projects as assigned by Deputy General Counsel.
  • Handle and coordinate with clients and other Amtrak lawyers on a broad range of activities and functions to ensure effective operations and the achievement of organization objectives in accordance with policies.
  • Identify and advise client/management on potential legal issues related to business practices and policies.
  • Review and interpret legislation and regulations.
  • Provide oversight and financial management of outside counsel in accordance with Law department guidelines.


MINIMUM QUALIFICATIONS:

The successful candidate for this position must have:

  • Juris Doctor from accredited law school and admission to and current good standing in a state or the District of Columbia bar.
  • At least seven (7) years of professional legal experience providing legal advice and guidance on commercial matters in a corporate, governmental, or law firm environment.
  • Knowledge and experience in governmental contracting at the state or federal level.
  • Demonstrated experience developing, implementing and administering internal corporate programs.
  • Demonstrated ability to apply legal and risk analysis to factual circumstances and exercise sound judgment.
  • Demonstrated ability to both convey clear and accurate legal advice and be solution-oriented to assist clients in achieving business objectives.
  • Demonstrated ability to apply and integrate organizational goals and objectives in work product and procedures.
  • Demonstrated legal writing skill in describing key facts, analyzing legal issues and presenting advice clearly and succinctly.
  • Experience demonstrating skill in budget development, analysis, and monitoring functional areas.
  • Ability to manage a large matter load of varying complexity and work efficiently and productively.
  • Ability to provide strategic and day-to-day direction to colleagues at all levels, and ability to work genially and productively with such colleagues.
  • Ability to develop and maintain relationships with people at all levels within and outside of the organization.
  • Ability to communicate orally and in writing to people at all levels within and outside of the organization on potentially sensitive or highly charged issues sufficient to exchange information, work cooperatively, facilitate understanding, and persuade and influence others.
  • Ability to respond to the priorities of business leaders and external customers, and experience in doing so.
  • Ability to think, plan, organize and implement strategically and experience in doing so.
  • Ability to draft memoranda setting forth legal advice and experience in doing so.
  • Ability to communicate orally in an effective and proficient manner.
  • Ability to conduct training for business leaders on matters relating to transactions as well as legal requirements of the company and experience in doing so.
  • Ability to use common office software for developing and exchanging electronic correspondence (e.g., Microsoft Outlook, Microsoft Word, Microsoft Excel, Microsoft PowerPoint, Microsoft Teams, Zoom, OneDrive).

  • Minimum of 40 hours a week and professional expectations.
  • Fast-paced environment with time sensitive drafting work and sometimes changing priorities.
  • Frequently work in a time-pressed situation, requiring considered but fast decisions.
  • Occasional travel.


COMMUNICATIONS AND INTERPERSONAL SKILLS:

Must have excellent oral and written communication skills.


The salary/hourly range is $166,160 - $215,350. Pay is based on several factors including but not limited to education, work experience, certifications, etc. Depending on an employee’s assigned worksite or location, Amtrak may consider a geo-pay differential to be applied to the employee’s base salary. Amtrak may offer additional incentive and pay programs to recognize and reward our employees, including a short-term incentive bonus based upon factors such as individual and company performance that is commensurate with the level of the position and/or long-term incentive plan compensation.
