Under the direction of the General Counsel and Managing Attorney, an Assistant General Counsel performs work of considerable difficulty in the areas of Corporation and business entities. An Assistant General Counsel handles the most complex, highly sensitive and specialized matters of legal policies and procedures related to areas of specialty.

Day-to-Day Role

• Responsible for legal matters pertaining to entity formation and continuation, including corporations, partnerships, and limited liability companies

• Provides support to corporate finance group and offers legal solutions and implements actions as necessary to fulfill finance recommendations

• Responsible for international legal matters pertaining to corporate formation and acquisitions

• Responsible for all legal matters pertaining to assigned foreign countries

• Maintain all corporate minute books, including preparation of minutes & resolutions

• Maintain the corporate records databases

• Responsible for legal matters pertaining to contract and purchasing law and general business law issues

• Present legal matters to management on a regular basis

• Collaborate with Dart's Tax, Accounting, and Treasury teams on finance-related transactions

• Support Dart's Finance leadership team through complex business transactions

Core Skills and Qualifications

The ideal Assistant General Counsel candidate must possess all of the following:

• Jurist Doctorate degree

• Must be licensed to practice law in one of the fifty states

• Seven (7) years of corporate law experience including experience with intracompany operating agreements and loan agreements and experience managing corporate governance records including board minutes, board resolutions, powers of attorneys, etc.

• Excellent verbal and written skills necessary in order to communicate intricate job-related processes to internal and external customers

• Experience using Microsoft Office, including the ability to create basic reports, documents, presentations and spreadsheets in MS Word, MS Excel, and MS PowerPoint

• Organizational skills including the ability to prioritize workload to meet deadlines

• Excellent analytical skills

• Ability to travel up to 10% of the time domestically and internationally

• Spanish fluency preferred
