Job description

Manatt, Phelps & Phillips, LLP, is seeking a highly qualified associate with four or more years of substantive corporate and securities finance transactions experience to join our Chambers-rated financial services practice, focusing on fintech transactions. The position is a fast-paced deal execution role, leading securities and financing transactions and interfacing directly with clients and opposing counsel at a high level.

Ideal candidates will have in-depth corporate transaction experience, focusing on securities offerings (private placements, Reg A and public offerings), lending and finance transactions, and mergers and acquisitions. Experience in financial services regulation involving both new and established companies in the token, digital and technology, blockchain, and cryptocurrency space is a plus. The position will also concentrate on matters involving venture financings, blockchain and digital assets, payments, lending, fund formation, alternative lending, regulatory enforcement work, and counseling clients on process and compliance matters. This is an exciting opportunity to represent emerging and growth-stage companies at the forefront of the financial services industry’s digital transformation, as well as traditional financial and technology companies seeking to enter the fintech space to guide them through this dynamic landscape. The ideal candidate will bring energy and creativity to advise clients on ways to mitigate risk.

Manatt’s world-class fintech practice works with more than 150 established platforms and investors to raise capital to support consumer and small-business lending, alternative credit and point-of-sale products, and real estate development and smaller projects. The team also works with token and cryptocurrency issuers and traders in advising on best practices to mitigate legal and regulatory risk. Manatt’s fintech practice involves several legal areas, including securities and state blue sky laws, venture capital, bank regulatory, investment advisory, broker-dealer, lender licensing, fund formation, intellectual property, digital media, privacy and data security, and more.

Requirements

  • Excellent written and verbal communication skills
  • Excellent legal research and analytical skills
