Location

The position is located at the Company’s corporate headquarters in Vienna, Ohio.

Reporting Relationships

The Chief Financial Officer (CFO) will report directly to the Co-Presidents / Board of Directors and will work closely with the Strategic Business Unit (SBU) Presidents, Leadership Team and SBU and Plant Level Operations Teams to ensure the proper accounting and financial infrastructure is in place to support the Company and its objectives, mission and values. The Chief Financial Officer will be considered part of the Executive Team which includes key members of management of the Company.

It will be important that the right candidate for this critical position, in addition to excellent technical skills and an extremely strong work ethic, values the Company culture, Team, mission and values and pillars of Millwood and its Associates. The right candidate will need to be a good and genuine person with high integrity who will be someone that respects and understands the responsibilities to the families of Millwood, respects what has been accomplished at the Company to date and can learn and add their own value and knowledge to document, improve and automate processes and assist the business in its growth plan and in achieving profitability goals and value creation efforts.

The successful candidate will also be hands on, detail oriented and will assist the Board, Presidents, Management Teams, SBU and Plant Operations Teams by assuming responsibilities and successfully executing the routine day to day, week to week and month to month financial functions, overseeing the development of the corporate, divisional and plant level financial and accounting function and insuring the successful financial performance and proper capital structure of the Company.

This position includes the leadership and assistance to the Board, Presidents, Management Team and SBU and Plant Operations Teams in the development, rigorous planning and systematic tactical execution of value creation efforts of Millwood.

More importantly, the candidate must demonstrate the ability to lead, train and develop staff and Teams.

Education and Experience

Bachelor’s or masters degree in accounting, active CPA certification in good standing OR MBA with concentration in finance and ten years or more of progressive experience including Controller or Chief Financial Officer roles in multi locational organizations is required and background in public accounting is a plus.

Hands on experience in a manufacturing environment and familiarity with manufacturing financial reporting, accounting, analytics and financial and data accumulation and analysis is required.

Responsibilities

The Chief Financial Officer will have hands on responsibility and oversight for all accounting and financial operations of the Company including internal and external financial reporting activities (including but not limited to consolidating and consolidated financial reporting), insuring the proper liquidity position and proper capital structure of Millwood, maintaining all banking relationships as well as all coordinating all legal, insurance, risk management and federal, state and local tax planning and compliance..

The CFO will also be responsible for the implementation and ongoing support of the proper financial infrastructure to support divisional / SBU and plant level operations and operating personnel in both rigorous short and long term panning and execution of same to achieve desired operational and financial results.

This includes accountability to insure the production of accurate, consistent and timely and understandable (ACTU) financial information at the both divisional / SBU / plant and consolidated level as well as consolidated and consolidating financial statements in accordance with Generally Accepted Accounting Principles (GAAP).

This includes but is not limited to periodic financial reports and supporting analytical data and information, budget analysis and financial review for the Management Team and Divisional / SBU and Plant level Operational Teams, weekly, monthly and year end key financial and operational reports, year end closing, and external auditor coordination, maintenance of thorough and appropriate accounting records, development and implementation of comprehensive internal control environment, development of budgets and operational controls and insure financial statements and related reporting are in compliance with Generally Accepted Accounting Principles.

The Chief Financial Officer will work closely with the Management and Leadership Teams, Divisional/ SBU and Plant managers and their staff as internal customers of the Finance Team, to assist in providing useful, understandable and relevant financial information to support the profitable operations, targeted levels of financial performance and growth of the Company.

In addition, the Chief Financial Officer will be very hands on and detail oriented to work with the Executive Team and Divisional and Plant Operations Teams and others to analyze and develop efficient financial and accounting processes and operations to support the efficiency of the accounting, financial and operations function of the organization.

Additional responsibilities for the position include but are not limited to:

- Oversight and documentation of processes that support day-to-day operations of all financial and accounting areas.

- Develop and train staff and Team and users of financial statements and related reports.

- Management and oversight of Information Technology Team.

- Provide oversight and management of Human Resources Team.

- Maintain relationships with independent auditors, bank, legal and insurance and risk management partners.

- Coordinate and insure daily / weekly / monthly billing integrity, accuracy and completeness.

- Manage all aspects of profitability, liquidity, cash position and capital structure of the organization.

- Coordinate all bank relationships and treasury management activities.

- Monitor and control liquidity position, cash planning and forecasting, borrowing bases and banking interfaces.

- Monitor debt levels and compliance with debt covenants.

- Coordinate all risk management and insurance activities.

- Coordinate payroll and related functions including potential automated payroll interface.

- Coordination of accounts receivable and accounts payable systems and activities.

- Develop tools and systems to provide critical financial and operational information to the Management and Leadership Team and Divisional and Plant Operations Teams so that they can utilize the information to effectively run the business. This may include further development of daily or weekly flash reports and financial and operational dashboards.

- Establish and maintain sound financial policies, procedures, systems, and internal controls for the business. This includes but is not limited to general accounting, capital expenditures, billing, accounts receivable, accounts payable, bank reconciliations, payroll, treasury and cash management, budgeting and forecasting, risk management, and inventory management.

- Work cooperatively with the Leadership Team and Divisional / SBU and Plant Operations Teams on the strategies and processes associated with achieving Company goals, objectives, and targeted levels of financial performance and value creation initiatives.

- Lead and assist in rigorous short and long term operational and strategic planning and execution.

- Work and interface with the Company’s independent accounting firm on all monthly, quarterly and year end financial and tax reporting and compliance filings. This includes all tax related issues, tax filings, planning, funding, distribution estimates etc.

- Coordinate all external audits and risk management initiatives.

- Comply with local, state, and federal government reporting requirements and tax filings

- Assist with all aspects of inventory reporting and valuation and related reporting and controls.

- Advise and assistance to Sales Team with commission calculations and automation.

- Responsible for administration and compliance of all 401(k) and employee benefit programs.

- All other responsibilities as determined.
